Terms & Conditions

These are the complete and only terms and conditions on which all property is offered for sale. By bidding in this auction, prospective bidders agree to be bound by the following:

Registration

All bidders must register their name, permanent street address (no P.O. Boxes please), and phone number prior to the auction.

Terms of Sale

The highest bidder for each lot shall be the buyer, and if any dispute arises as to any bidding, or between two or more bidders, at the sole discretion of the auctioneer, the disputed lot shall be put up again at the last undisputed bid and resold.

Buyer's Premium

LIQUID ASSET PARTNERS LLC will charge and retain a non-negotiable 10% buyer's commission from the proceeds of any sale on the final bid of each lot sold ("Buyer's Premium").

Taxes

Where required by law, Buyer shall pay to LIQUID ASSET PARTNERS LLC sales tax. Tax will be added to the purchase price of all purchased items, as well as the Buyer's Premium. At the time of payment, dealers who purchase for resale must supply LIQUID ASSET PARTNERS LLC with completed copy of the tax exempt form, call our office if you need such a form 616-719-5917.

Payment

Only cash, credit cards, a company/personal check with a bank letter of guarantee, and bank cashiers check are acceptable methods of payment. Bidders are required to pay for their purchases immediately after the conclusion of the auction.

IF LIQUID ASSET PARTNERS LLC HAS NOT RECEIVED PAYMENT FOR WINNING BIDS BY THE END OF THE DAY, THE BIDDER AUTHORIZES LIQUID ASSET PARTNERS LLC TO CHARGE THEIR PURCHASES TO THE CREDIT CARD LEFT ON FILE DURING THE REGISTRATION PROCESS.

Lot Descriptions

LIQUID ASSET PARTNERS LLC does not warrant the condition of any lot sold. ALL PROPERTY IS SOLD AS IS, and neither LIQUID ASSET PARTNERS LLC nor the consignor makes any warranties or representations of any kind or nature with respect to the property or it's value, and in no event shall they be responsible for correctness of description, genuineness, attribution, provenance, authenticity, authorship, completeness, condition of the property or estimate of it's value. No statement (oral or written) in lot descriptions, at the auction, or elsewhere shall be deemed such a warranty or representation, or any assumption of responsibility.

Prospective bidders are urged to contact LIQUID ASSET PARTNERS LLC directly for detailed information regarding any lot. THERE SHALL BE NO RETURNS FOR ANY REASON. The maximum obligation of Liquid Asset Partners for any disputes it to refund the purchase price.

After the Auction

Successful bidders are expected to pay for their purchases immediately. IF PAYMENT IS NOT RECEIVED BY THE END OF THE DAY BIDDERS AUTHORIZE LIQUID ASSET PARTNERS LLC TO CHARGE THEIR PURCHASES TO THEIR CREDIT CARD LEFT ON FILE.

Shipping

It is the buyer's responsibility to arrange packing and shipping of any and all lots purchased. It is the responsibility of the buyer to pay for all shipping and handling charges. LIQUID ASSET PARTNERS LLC will need to see a paid invoice before removing any and all purchases.

Removal

No items may be removed until the auction is completed. When the auction is completed, the Buyer may remove items if their invoice is paid in full.  All purchases must be completely removed immediately after the conclusion of the auction.

Removal Procedures

1. NO MERCHANDISE WILL BE RELEASED DURING THE AUCTION SALE.

2. Pay your invoice in full. Once you do, you will be given the white copy of your invoice. Invoice must be paid in full prior to removing any items. NO EXCEPTIONS.

3. Return to the auction site during the removal hours with the original white copy of your invoice, or make sure a company representative has the original white copy.

4. You will then be paired with a representative from LIQUID ASSET PARTNERS LLC, who will proceed to check out and allow you to remove all of the items you purchased at the auction.

Additional Check-Out Procedures

1. Buyer is responsible for providing his own forklifts and material handling equipment to be used in the removal of Buyer's lots. Material handling equipment sold at this auction may not be used in the removal of lots unless you were the successful Buyer of said material handling equipment.

2. Small Lot Removal: LIQUID ASSET PARTNERS LLC is not responsible for any missing or lost small lots if they have not been removed within 48 hours of the conclusion of the sale. There will be NO removal of any lots until the auction is complete.

3. It is solely the Buyer's responsibility to properly remove all fluids, oils, hazardous chemicals, etc., from machinery purchased at this auction. All oils should be properly stored in the appropriate containers (sealed drums).

4. Failure to remove all lots by the removal date results in Buyer's violation of the terms of the auction sale, providing LIQUID ASSET PARTNERS LLC with the right to exercise any options. Buyer will be solely responsible for all costs of these options.

Definitions of Liquidation Terms

Liquidation - Is to pay off (a debt, a claim, or an obligation); settle.

b. To settle the affairs of (a business firm, for example) by determining the liabilities and applying the assets to their discharge.

c. To convert (assets) into cash.

d. To settle a debt, a claim, or an obligation.

e. To settle the affairs of a business or an estate by disposing of its assets and liabilities.

Bankruptcy - Law a debtor that, upon voluntary petition or one invoked by the debtor's creditors, is judged legally insolvent. The debtor's remaining property is then administered for the creditors or is distributed among them.

Assets - Accounting the entries on a balance sheet showing all properties, both tangible and intangible, and claims against others that may be applied to cover the liabilities of a person or business. Assets can include cash, stock, inventories, property rights, and goodwill.

b. The entire property owned by a person, especially a bankrupt, which can be used to settle debts.

Liquid Assets - assets in the form of cash (or easily convertible into cash)

Auctions- Is a public sale in which property or items of merchandise are sold to the highest bidder.

Auction House - Is a firm that conducts auctions.

Equity - Is the difference in value between a person's debts and the value of the property on which they are secured.

Wholesale - Of, relating to, or engaged in the sale of goods in large quantities for resale: a wholesale produce market; wholesale goods; wholesale prices.

b. Made or accomplished extensively and indiscriminately; blanket: wholesale destruction, or in large bulk or quantity.

Intellectual Property - is the product of the intellect that has commercial value, including copyrighted property such as literary or artistic works, and ideational property, such as patents, appellations of origin, business methods, and industrial processes.

Appraisal - an unbiased and independent opinion of value.

Approaches to Value - the three recognized approaches used in appraisal analysis.

They are as follows:

Cost Approach - Calculation of value beginning with a determination of the replacement cost of a new asset of the same or similar utility, followed by deductions for all forms of depreciation to the subject asset including; physical (age, condition), technological obsolescence and economic obsolescence

Income Approach - capitalization of current net income or projected net cash flow and discounts those at a calculated rate to estimate current value. This is the least employed approach to value in single asset appraisals of equipment

Sales Comparison or Market Approach - involves the collection of market sales data pertaining to the subject assets being appraised in order to determine the desirability of the assets through recent sales or offerings of similar assets currently on the market in order to derive the most probable selling price for the assets being appraised.   In high tech technology, values change rapidly and little market data may exist for certain assets.

Concepts of Value - appraisal assignments often require more than one value. The appraiser, before beginning the process will investigate the assignment thoroughly in order to arrive at the concept that best suits the situation and purpose of the appraisal assignment. Some of the most common values are as follows:

Fair Market Value - the estimated amount, expressed in terms of money, which may reasonably be expected for a property in an exchange between willing buyer and a willing seller, with equity to both, neither under any compulsion to buy or sell, and both fully aware of all relevant facts, as of a specific date.

Forced Liquidation Value - the estimated gross amount, expressed in terms of money, that could typically be realized from a properly advertised and conducted public auction, with the seller being compelled to sell with a sense of immediacy on an as-is, where-is basis, as of a specific date.

Residual Value - the projected value expected by a lesser at the termination of a "fair market value" lease. This value usually falls somewhere between the fair market value and its orderly liquidation value and is based upon the lessor's calculated expectations of the willingness of the lessee to buy the equipment at its fair market value. IN the event the lessee elects to return the equipment, the lesser is likely to dispose of the equipment at its orderly liquidation value.

Orderly Liquidation Value - the estimated gross amount, expressed in terms of money, which could typically be realized from a liquidation sale, given a reasonable period of time to find a purchaser(s) with the seller being compelled to sell on an as-is/where-is basis, as of a specific date.

Salvage Value - is the estimated amount, expressed in terms of money that may be expected for the whole property or a component of the whole property that is retired from service for possible use elsewhere, as of a specific date.

Scrap Value - is the estimated amount, expressed in terms of money that could be realized for the property if it were sold for its material content, not for a productive use, as of a specific date.

Insurance Cost New  - is the replacement or reproduction cost new as defined in the insurance policy less the cost new of the items specifically excluded in the policy, as of a specific date.

Insurable Value Depreciated - is the insurance replacement or reproduction cost new less accrued depreciation considered for insurance purposes, as defined in the insurance policy or other agreements, as of a specific date.
